Art Van’s Furniture: From Powerhouse To Liquidation In Just Three Years

The 9th of March, 2020 InBankruptcy,Retail I was a member of a consulting team that participated in a strategic planning retreat for Art Van Furniture’s top management less than three years ago. In mid-2017, the firm was on a roll: it was extremely lucrative, growing quickly, expanding into new markets, and appeared to be on track to quadruple its growth and secure its position as a regional powerhouse in the furniture industry, among other accomplishments. The firm announced last week that it will be closing its doors for good.

So, what exactly happened? While I despise using the metaphor of a perfect storm, a combination of poor decision-making and terrible timing brought a once-dominant corporation crashing down.

  • Ownership by private equity firms. Founded by Art Van Elslander, the firm was bought by Thomas H. Lee Partners LP in 2017 for an estimated $550 million from the creator of the company. In TH Lee, he saw a chance to centralize an industry that had been traditionally fragmented. They also adopted a handful of elements from the private equity playbook that have been extensively imitated, such as borrowing money to finance the purchase. While the sale-leasebacks of the properties were utilized to pay the purchase price to the selling shareholders, the higher rental rates on leased properties were the result of the increased turnover in management. The transfer out of a family firm is always tough, but there was also tremendous turnover in the senior ranks as a result of the failure to retain the team (which included many non-family members) that had accomplished the preceding success
  • Rapid Growth Organically and Through Acquisition. The firm then saw rapid growth as it attempted to break into the Chicago market, expand its Pure Sleep mattress shop brand, and acquire bolt-on acquisitions such as Levin Furniture in Pittsburgh and Wolf Furniture in Altoona, Pennsylvania, among other things. Again, all of the plays are very likely sound from a strategic standpoint, but the sequencing and implementation of the plans are terrible. Growing too quickly (see Earth Fare, Lucky’s, and other similar businesses) as a result of unrealistic private equity expectations feels like a broken record
  • E-commerce is a broken record for me. Sure, let’s put the blame on Amazon. Or, in this case, the money-sucking Wayfair company, to be more explicit. In the furniture industry, e-commerce accounted for only a modest portion of total sales in 2017. Currently, it accounts for around 20% of the market. Art Van attempted, but failed, to scale up its e-commerce operations swiftly and efficiently. Certainly, e-commerce has had an influence on the main brick and mortar industry, but it cannot be held solely responsible for the current situation
  • Tariffs. For good measure, the furniture business was also entangled in the trade dispute between the United States and China. In 2018, China was the leading supplier of furniture to the United States, and initial duties of ten percent were raised to twenty-five percent in May of this year when trade discussions came to a halt. There was no question that this had an impact on margins.

An extraordinarily short length of time was required to bring a once brilliant corporation to its knees due to a combination of internal blunders and external influences. We said that we were only searching multiple times until they got the idea and left us alone.

Sales goon2 appears, along with the original sales goon, and2 sits down and begins calculating whatever obscure alchemical formula they are using to arrive at a price.

Eventually, I had to just walk my wife out the door and ignore them the rest of the way through the store.

We traveled all the way to Westland in order to shop at a different retail establishment.

We approached a salesman who happened to be enjoying a cup of coffee, and he rung it up in less than 15 minutes after all of the paperwork and bullshit had been signed.

Everything went smoothly, and I’m currently sitting on it while you read this. Fuck Art Van, and fuck high-pressure sales practices, both of which are offensive.
